Terms of Service

These Terms of Service ("Terms") are a binding agreement between HubRelay LLC ("HubRelay," "we," "us," or "our") and the person or entity using the Service ("you" or "Customer"). By creating an account or using hubrelay.io, the HubRelay web app, or the HubRelay API (together, the "Service"), you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

HubRelay lets you define zip code and state rules in one place and syncs them to your connected platforms. We may update, improve, or change features at any time. We will use reasonable efforts to keep the Service available, but we do not guarantee uninterrupted operation.

2. Accounts and eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. The Service is intended for businesses and is not directed to children. You are responsible for keeping your login credentials secure and for all activity that happens under your account. Notify us at hi@hubrelay.io if you suspect unauthorized access.

"Customer Data" means the data you submit to the Service, including the rules, addresses, coordinates, and uploads you provide. As between you and HubRelay, you own your Customer Data. You grant us a limited license to host, process, transmit, and display Customer Data only as needed to provide and support the Service. We do not use Customer Data to train machine learning models. Our handling of personal information is described in our Privacy Policy.

5. Fees and payment

Paid plans are billed in advance on a recurring basis through our payment processor, Stripe. Fees are non-refundable except where required by law or expressly stated. You authorize us (and Stripe) to charge your payment method for all applicable fees. If a payment fails, we may suspend or terminate your access until the balance is paid. We may change pricing with reasonable advance notice; changes will not apply to your current paid term.

6. Free trials and free plans

If we offer a free trial or free tier, we may modify or end it at any time. Limits and entitlements for free use are described on the Service.

7. Third-party services

The Service can connect to third-party platforms you choose. Your use of those platforms is governed by their own terms, and we are not responsible for them. You are responsible for making sure you have the rights needed to connect any third-party account to the Service.

8. Intellectual property

The Service, including all software, text, graphics, and trademarks, is owned by HubRelay or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service in accordance with these Terms. We reserve all rights not expressly granted.

9. Feedback

If you send us suggestions or feedback about the Service, you grant us a perpetual, irrevocable, royalty-free license to use it without restriction.

10. Suspension and termination

You may cancel your account at any time. We may suspend or terminate your access if you breach these Terms, fail to pay, or use the Service in a way that creates risk or legal exposure for us or others. On termination, your right to use the Service ends immediately. As described in our Privacy Policy, Customer Data is deleted within 90 days of termination.

11. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. HubRelay does not warrant that the Service will be uninterrupted, error-free, or that any data will be accurate or complete. You are responsible for verifying that location rules and outputs meet your business and legal needs.

12. Limitation of liability

To the maximum extent permitted by law, HubRelay and its officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or business opportunities, arising out of or related to the Service. Our total cumulative liability for any claim arising out of or related to these Terms or the Service will not exceed the greater of (a) the fees you paid to us in the twelve months before the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).

13. Indemnification

You agree to defend, indemnify, and hold harmless HubRelay from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your Customer Data, your use of the Service, or your breach of these Terms.

14. Governing law and disputes

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-laws rules. You agree that any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Sheridan County, Wyoming, and you consent to personal jurisdiction there.

15. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date and, where appropriate, notify you through the Service or by email. Your continued use of the Service after changes take effect means you accept the updated Terms.

16. Miscellaneous

These Terms, together with the Privacy Policy, are the entire agreement between you and HubRelay regarding the Service. If any provision is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce any right is not a waiver of that right. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
